This document contains the Terms and Conditions of Use. The GMATWhiz service (collectively, “GMATWhiz”, “the Site”, or “the Service”) is operated solely by Whiz Edtech Inc. (The terms “Whiz Edtech Inc.” and “GMATWhiz” have been used interchangeably in this document, and it basically includes all the services related to GMATWhiz) By registering, purchasing, or using the Services or by availing the free trial or demo of any of the services on this web site, you are agreeing to be bound by these web site Terms and Conditions of Use, all applicable laws, and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this website are protected by applicable copyright and trademark law if any.

GMATWhiz reserves the right to change, modify or delete portions of this Terms of Use at any time without any further notice. Your continued use of https://www.gmatwhiz.com/, its subdomains (such as https://learn.gmatwhiz.com), or any other GMATWhiz properties constitutes agreement to these changes.
PURCHASE QUALIFICATION
GMATWhiz does not permit children under 13 years of age to become users without their parent or guardian's express consent and approval. Any registration, use or access to the site by anyone under 13 years of age is a violation of the terms of use. Using this site constitutes a confirmation that you are 13 years of age or older or have had your parent or guardian give their personal information in lieu of giving yours.

To make a purchase on GMATWhiz website, you must comply with the terms set out in this Terms of Use.

ACCOUNT SECURITY
By purchasing GMATWhiz service, you acknowledge that you are responsible for maintaining the security of, and restricting access to, your account and password, to GMATWhiz material to anyone other than yourself and you agree to accept responsibility for all purchases/registration and other activities that occur under your account. Under any circumstance, GMATWhiz shall not be held responsible for any loss/hacking of password or any other user data. Your purchase of GMATWhiz service and your account thereafter, is not transferable under any circumstances and is a punishable offence.

GMATWhiz reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders at any time in its sole discretion.
USE LICENSE
All Programs and the Site are owned by GMATWhiz and its licensors. To authorized users, GMATWhiz grants a limited, terminable, non-exclusive, non-assignable, non-transferable license to access and use the Service solely for your personal, non-commercial, and non-competitive use. You may not enroll in or use any Program for the benefit of any competitor of GMATWhiz. The purpose of the license is to help users prepare for the GMAT. No site content may be shared, modified, reproduced, republished, distributed, disassembled, downloaded, posted or sold (or resold) in any forms or means, either complete or in part, without the prior permission from the Company. Furthermore, you also shall not translate or prepare derivative works of any of the content on GMATWhiz. You also understand that GMATWhiz holds the right to terminate your license without any notice if it has reasonable doubt that you intend to or have attempted any of the above. All rights not otherwise expressly granted by this Agreement are reserved by Company.

All books, video, audio, text, questions, explanations, diagrams, images, animations and other content that you receive or to which you have access during your Program or through use of the Site(s), regardless of medium or format, (collectively, “Program Content”), are protected by copyright law, if applicable, and belong to GMATWhiz and its licensors. You may not download, record, screenshot, copy or reproduce Program Content in any way. You may not make any audio and/or video recording of a class or any part of your Program. You may not attempt to decompile, reverse engineer, scrape, or data mine Programs. The trademarks, service marks, designs, and logos displayed on the Sites and in Programs are the registered and unregistered trademarks of GMATWhiz, GMATWhiz's licensors, and Third Party Sellers and may not be used without GMATWhiz’s prior, written permission. Third-Party Products are owned by such Third Parties and their respective licensors.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by GMATWhiz at any time without the issuance of any refund/payment of money. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.
USER CONDUCT
As a condition of your registration at GMATWhiz, you agree to provide accurate registration information including a valid email address, contact number, name, etc. GMATWhiz has the right to terminate your registration without prior notice or issuance of a refund if it has reason to believe that you have misrepresented yourself.

You agree that no materials of any kind submitted through your account or otherwise posted, transmitted, or shared by you on or through the Service will violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity, or other personal or proprietary rights; or contain libelous, defamatory, objectionable or otherwise unlawful material. You take on the full responsibility of the material you post at https://www.gmatwhiz.com/ or its subdomains. GMATWhiz does not have any obligation to preview, screen, or monitor any content that may be added to https://www.gmatwhiz.com/ or its subdomains.

Users further agree not to a) harvest or collect email address or contact information of other users on GMATWhiz by electronic or other means, b) use the service in an unlawful manner that could overburden, damage, disable or impair the site, c) intimidate or harass any other user, d) use or attempt to use another's account without Company’s authorization, or create a false identity on the Site, e) upload unlawful, harmful, defamatory, infringing, vulgar, fraudulent content or make public any private information such as email address, social security numbers, addresses, or bank account information of an individual.
PAYMENT OF FEES
You hereby agree that upon registration for, or purchase of, any of the GMATWhiz Services, you shall pay the tutoring, package, program or product fees, user fees or charges due (and/or any other fees and charges due) for such Services, as specified in this Agreement (and as may be further specified on the GMATWhiz Site). Except as otherwise provided in this User Agreement, all such fees, user fees, and charges shall be non-refundable, in whole or in part. All international debit/credit cards are accepted for payments.

You hereby agree that GMATWhiz and its representatives are expressly authorized to charge your credit or charge card provided upon initial registration or purchase (or as subsequently provided) for the amounts due for any of the GMATWhiz Services. You also hereby agree that GMATWhiz and its representatives shall be authorized to charge your credit or charge card provided upon registration or purchase (or as subsequently provided) for any outstanding balance or installments due (if applicable) for your purchase of any such GMATWhiz Services, as and when any and all such payments may become due as specified in this User Agreement (and as may be further specified on the GMATWhiz Site). Moreover, no further permission or consent to such charges on your behalf shall be necessary or required for GMATWhiz to charge your credit or charge card and to process your payments for such GMATWhiz Services.

Failure to complete the timely payment may result in the suspension or discontinuation of your GMATWhiz Services and/or your forfeiture of any deposit without any prior notice. You hereby agree that should you fail to pay any amounts or charges owed to GMATWhiz for your GMATWhiz Services, GMATWhiz shall have the right to pursue such unpaid amounts and charges. You shall remain liable to GMATWhiz for all such amounts and charges, as well as for any and all costs of collection incurred by GMATWhiz, including, without limitation, for collection agency fees, court costs, reasonable attorneys' fees, and for any and all related costs, expenses, fees and charges.

GMATWhiz reserves the right to revise/modify the prices of the courses offered i.e. GMAT Prep, GMAT Tutor Prep, Quant Tutor Prep, Verbal Tutor Prep, Live Online Course or any other service provided by it at its sole discretion as a part of its pricing strategy. The amount displayed at the time of purchase/payment shall be deemed to be final.
TAX
Purchases may be subject to taxes in many states. Tax rates are different from state to state. You are responsible for paying all such taxes.
EXTENSION AND UPGRADATION
You have the option to extend your course by writing to us at support@gmatwhiz.com and paying a small fee as may be specified by providing the official mail of your GMAT test date.
You have the option to upgrade your course and buy the other section as well. However, please note that the expiration of the course will be linked to the date of purchase of the individual courses.
However, GMATWhiz reserves the right to deny the extension/upgradation of such services at its sole discretion irrespective of the package purchased.
ACCESS PERIODS
Programs includes access to digital resources (Online Resources) beginning at the time of purchase and ending as stated below in Table 1.1. Tutoring students will have access to Online Resources for 6 months from the purchase of tutoring hours. The details of package names and their validity is mentioned in the table 1.1.

GMATWhiz shall not issue any refund whether partial or complete, even if the student has not utilized the product/services/tutoring in the specified access period respectively.

By purchasing the product/service, you’re accepting that you’re aware of the expiry date of the product/service and also the fact that your GMATWhiz account is non-transferable. The students may find the expiry date of the product/service on their “My Profile” page on the website clearly and GMATWhiz shall not be liable to send any reminder for the expiry of the product/service at all.

GMATWhiz shall not be held accountable if the student doesn’t read the expiry-related information on the main website or their profile page.
​
Any oral communications related to extended validity promised by any company representative isn’t valid unless it is in written format signed by a company representative or coming from an official email id such as support@gmatwhiz.com or piyush@gmatwhiz.com
FREEZING OF ACCOUNT
Students may choose to place a request for freezing your GMATWhiz account for a maximum period of 6 months during your subscription period by prior information to the company by writing at support@gmatwhiz.com before the start of the freeze period. However, such an option can be availed only once during the entire subscription period.

Students should intimate the company in a similar manner when they wishes to get their account unfreeze. If no such intimation is received and the freeze period extends beyond 6 months then the additional period shall be deducted from their remaining validity of the course.

However, GMATWhiz reserves the right to deny the request for freezing of account at its sole discretion.
PROGRAM SWITCHES
If you are enrolled in a program that has not yet begun and has not sold out, you may switch into another Program with no penalty by writing to GMATWhiz at support@gmatwhiz.com at least 48 hours prior to the start of the class you are currently enrolled in. If your Program has already begun or has sold out, you can switch into another upcoming Program by paying a switch fee; write us at support@gmatwhiz.com for details. However, GMATWhiz reserves the right to deny the program switches at its sole discretion.
LINKS/ THIRD-PARTY WEBSITES
You may be able to link from the Site to third party websites and third party web sites may link to the Site (“Linked Sites”). You acknowledge and agree that we have no responsibility for the content, products, services, advertising or other materials which may be provided by or through Linked Sites, even if they are owned or run by affiliates of ours. Links to Linked Sites do not constitute an endorsement or sponsorship by us.
TECHNICAL REQUIREMENTS
You will be responsible for meeting and maintaining the minimum technical requirements for your selected purchase in order to access certain features of your Program. Access to Programs may require internet access, for which GMATWhiz is not responsible.
WARRANTIES AND DISCLAIMER
The materials on GMATWhiz's website are provided on a “best efforts” and "as is" basis. GMATWhiz makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, GMATWhiz does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Internet website or otherwise relating to such materials or on any sites linked to this site.

GMATWhiz and its subsidiaries (if any), affiliates, officers, employees, agents, partners, and licensors, if any, make no warranty that (i) the service will meet your requirements; (ii) the service will be uninterrupted, timely, secure or error-free; (iii) the results that may be obtained from the use of the service will be accurate or reliable; (iv) the quality of any products, services, information or other material purchased or obtained by you through the service will meet your expectations; and (v) any errors in the software will be corrected.

The Service may be temporarily unavailable from time to time for maintenance or other reasons. GMATWhiz assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction, or unauthorized access to, or alteration of, communications.

Under no circumstances will GMATWhiz be responsible for any loss or damage, including any loss or damage to any User Content or personal injury or death, resulting from anyone's use of the Site or the Service, any User Content or Third-Party Applications, Software or Content posted on or through the Site or the Service or transmitted to Users, or any interactions between users of the Site, whether online or offline.
LIMITATION OF LIABILITY
You expressly understand and agree that the Company or its employees shall not be liable for any direct, indirect, consequential, incidental, special, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Company has been advised of the possibility of such damages). In no event shall the Company’s total liability to you exceed the amount paid by you, if any, for accessing the Website or the Services.
INDEMNIFICATION
You agree to indemnify, defend and hold harmless GMATWhiz, its officers, directors, partners, employees, agents, other service providers, vendors or customers from and against all losses, expenses, damages, and costs, including reasonable attorneys’ fees resulting from any violation of these Terms and Conditions of Use by you or any harm you may cause to anyone in connection with your use of the Service, including, for the avoidance of doubt, your use, or the use by any of your affiliates, of the Service for competitive purposes or your association with GMATWhiz.
GOVERNING LAW AND CONFLICT RESOLUTION
This User Agreement and the relationship between you and GMATWhiz is governed by the laws of the state of Delaware, the USA without regard to its conflicts of law provisions. You agree that any dispute, claim, or cause of action related to GMATWhiz’s terms and conditions of use regardless of any statue of law shall be brought to the courts of state of Delaware, USA only and will be subject to local laws only. No dispute, claim, or cause of action related to GMATWhiz’s terms and conditions of use shall be entertained in any court other than that stated before. You further agree that all claims and disputes shall be filed within 6 months of the claim or cause of action or be forever barred.
FORCE MAJEURE
GMATWhiz shall not be liable for any cancellation, failure, or delay in the performance of its Services to the extent that such cancellations, failures, or delays are proximately caused by forces beyond the reasonable control of GMATWhiz, including, without limitation, acts of God, acts of war, and/or the failure of any third-party service providers, suppliers, subcontractors, and carriers.
REFUNDS POLICY

By Course/Service Type
Online Plans(GMAT Prep/ Quant Prep/ Verbal Prep)- If a refund request is placed within 7 days of purchase and neither more than 5% of the entire course nor more than 10% of a particular level has been accessed, 90% of the course fee shall be refunded. Please note that 100% of the amount cannot be refunded as certain payment gateway charges are incurred for each transaction.

Note: The term “level” here means SC, CR, RC, Quant Foundations, Quant Intermediate, Quant Advanced. (It can be accessed by clicking on the Course Tab from the Study Plan menu upon login to the portal)

Live Classes-The fees paid for availing of the Live classes service is non-refundable under any circumstances. You can check out the Demo before enrolling for the Live classes.
​
Private Tutoring (GMAT Tutor Prep/ Quant Tutor Prep/Verbal Tutor Prep)- No refund shall be provided if you availed of a demo before purchasing the course. However, for those who purchased the course directly and apply for a refund within 7 days of purchase, a refund will be provided on a pro-rata basis depending upon the number of sessions remaining and after deducting payment gateway charges and other fees (approx. 5-10%). No refund will be processed under any circumstances if the refund request is raised after 7 days of purchase.
The students are advised to plan the sessions in advance in such a manner that all the sessions can be availed by him/her within a period of 6 months from the date of purchase. GMATWhiz shall not, in any way, be responsible for any delay from the student’s end which prevents him/her from utilizing the sessions within 6 months from the date of purchase. Further, no extension/ refund shall be provided for the remaining sessions, if any, in such a case.

Note:
1. The term “demo” here means any discussion that may have taken place with the same tutor for any duration
2. The term “directly” here means without availing any demo before purchasing the course.

Admission consultancy( 3 school/ 5 school/ ISB Special)-The fees paid for availing of any Admission consultancy service is non-refundable under any circumstances.

By Concern Type
Refund in case of incorrect purchase: Programs purchased will not be refunded or changed to another program on grounds of incorrect selection at the time of purchase.
Refund in case of server error: In case the same program is purchased twice due to some server error, the following refund rules will apply - If the learner informs us within 7 days, a refund shall be provided after deducting the payment gateway charges as applicable as the company incurs this cost unnecessarily and other fees (approx. 5-10%) as per our discretion.

Refund in case of special approval: Refund is possible only if applied within 7 days of the purchase of the product and the max refund amount is 50% of the fee received. However, such approval shall be valid only if it is duly signed by a company representative or comes from an official email id such as support@gmatwhiz.com or piyush@gmatwhiz.com. Any oral communication with respect to the same shall be deemed to be invalid.

However, GMATWhiz reserves the right to deny the approval at its sole discretion.
TERMINATION
Termination by you: You may, at any point in time, choose to terminate your subscription to a service by sending us an e-mail. Such termination will not change any amounts due to us.

Termination by GMATWhiz: Breach of any of the terms of this Agreement constitutes a termination of the Agreement. Any and all amounts due under this Agreement shall survive the Term of this Agreement. If you fail, or GMATWhiz suspects that you have failed, to comply with any of the provisions of this Agreement, including but not limited to failure to make payment of fees due, failure to provide GMATWhiz with a valid credit card, or with accurate and complete Registration Data, failure to safeguard your Account information, violation of the Usage Rules or any license to the software, or infringement or other violation of third parties rights, GMATWhiz, after notice of 07 (seven) days to rectify such failure to you, may terminate your subscription and/or your Account if such failure on your part still continues. No refunds will be issued in such a case of for early Termination.
